1. Introduction

 

These Terms & Conditions (“Terms”) govern the use of the services, software, and platforms provided by Paxxio (Pty) Ltd (“Paxxio”, “we”, “our”, “us”). By engaging with our services or using our platforms, you (“Client”, “you”, “your”) agree to be bound by these Terms.

 

If you do not agree to these Terms, you may not access or use Paxxio’s services.

 

 

2. Services

 

Paxxio provides bespoke software development, system integration, support, and related technology services as described in agreements, proposals, or Service Level Agreements (SLAs) concluded with Clients.

 

Services may include (but are not limited to):

 

  • Custom software development

  • Cloud hosting and infrastructure management

  • Ongoing support and maintenance

  • Advisory, consulting, and professional services

 

 

3. Client Responsibilities

 

Clients agree to:

 

  • Provide accurate and up-to-date information required for service delivery.

  • Ensure that their use of Paxxio’s services is lawful and compliant with applicable regulations.

  • Safeguard login credentials, access details, and other security information provided.

  • Refrain from using Paxxio’s services for unlawful, harmful, or fraudulent purposes.

 

 

4. Fees & Payments

 

  • Fees are set out in the applicable agreement, SLA, or invoice.

  • Payments must be made within the time period specified on invoices (default: 7 days unless otherwise agreed).

  • Paxxio reserves the right to suspend or terminate services for late or non-payment.

  • All fees are exclusive of applicable taxes unless otherwise stated.

 

 

5. Intellectual Property

 

  • All intellectual property, software, code, and documentation developed by Paxxio remain the property of Paxxio until fully paid for by the Client.

  • Upon full payment, ownership of custom-developed work (as specified in agreements) may transfer to the Client, subject to agreed terms.

  • Paxxio retains the right to use its general know-how, methods, frameworks, and tools in future projects.

 

 

6. Confidentiality

 

Both parties agree to treat all non-public information exchanged as strictly confidential, in accordance with the Confidentiality provisions of the SLA and Privacy Policy.

 

 

7. Data Protection & Privacy

 

  • Paxxio processes personal information in compliance with the Protection of Personal Information Act (POPIA) and its Privacy Policy.

  • By using our services, Clients consent to such processing.

  • Clients remain responsible for ensuring their own compliance with data protection laws where applicable.

 

 

8. Service Availability & Limitations

 

  • Paxxio will use reasonable efforts to ensure uptime and performance of its services.

  • However, we do not guarantee uninterrupted access and are not liable for downtime caused by third-party providers, force majeure events, or factors outside our control.

  • Any remedies or service credits for downtime will be specified in applicable SLAs.

 

 

9. Limitation of Liability

 

  • Paxxio will not be liable for indirect, incidental, or consequential damages arising from the use of its services.

  • Our liability, whether in contract or delict, is limited to the total fees paid by the Client in the 3 months preceding the claim.

  • Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

 

 

10. Termination

 

  • Either party may terminate services with 30 days’ written notice, unless otherwise specified in an SLA.

  • Immediate termination may occur if either party commits a material breach, becomes insolvent, or engages in unlawful activities.

  • Upon termination, all outstanding payments become immediately due, and Paxxio will cease providing services.

 

 

11. Governing Law

 

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be resolved in accordance with South African law, subject to the arbitration provisions set out in applicable agreements.

 

 

12. Changes to Terms

 

Paxxio reserves the right to amend these Terms from time to time. Updated Terms will be published on our website or communicated directly to Clients. Continued use of our services constitutes acceptance of the updated Terms.
